In response to the impacts of COVID-19 on the business of The Lovesac Company, a Delaware corporation (the “Company”), the Company will be temporarily reducing by 20% the cash compensation paid to Shawn Nelson, Chief Executive Officer, Jack Krause, President and Chief Operating Officer, and Donna Dellomo, Executive Vice President and Chief Financial Officer, and the board of directors agreed to a temporary reduction of its retainer and monitoring fees and an extension of the associated payment timeline.

On April 1, 2020, the Company issued a press release (the “Press Release”) providing a business update relating to the impact of the COVID-19 pandemic.
